About this position

GCL advises IDB Lab’s Management, the Donors Committee, the Board of Executive Directors, and the Board of Governors on all legal matters relating to IDB Lab. As part of its functions, the Legal Department provides full legal support to non-sovereign guaranteed operations throughout the entire transaction cycle, including origination, portfolio management, workouts, and the development of new products. Also, we provide legal support to the operations of IDB LAB, a trust fund administered by the IDB.

 

Ideal candidates will possess robust legal analysis skills, strategic thinking, along with expertise in at least one of the following areas:

Investments in early-stage equity, including SAFEs (Simple Agreements for Future Equity), limited partnerships, especially if involving angel and venture capital, including via trusts and other vehicles.


Direct equity investments, convertible loans, warrants and other equity participation structures; and
Grants and loans promoting impact investment, incorporating upside or downside flexible payment arrangements.

What you’ll do

As counsel, your key responsibilities will be:

  • Participating in project teams by providing legal advice in the origination, eligibility, due diligence, structuring, drafting, negotiation, documentation, closing and disbursement of IDB LAB, equity and quasi-equity transactions, technical cooperation activities, loans and guarantees.
  • Providing advice on portfolio administration matters, including amendments and waivers of financing documentation, as well as restructurings, workouts and litigation relating to impaired assets.
  • Coordinating cross-functionally with Investment Officers, as well as Credit Risk, Environmental, Social and Governance, and Portfolio Management groups to ensure effective and efficient deal and post-deal execution.
  • Contributing to the preparation of presentations to internal committees, Board of Executive Directors, and the Donors Committee of IDB LAB.
    Supporting the drafting and regular updating of model documentation related to IDB LAB.
  • Identifying creative legal solutions to effectively manage IDB LAB operations.
  • Expanding country knowledge, experience and best practices arising from the business in Latin America and the Caribbean and promoting knowledge-sharing across IDB Group.
  • Contributing to the selection and coordination of outside counsel services in a cost-effective manner.
  • Contributing to the delivery of legal advice and interpretation of policies, procedures and products related to the activities of IDB LAB.
  • Deliver training on matters relevant to NSG operations.
  • Coordinate the selection and supervision of outside counsel services in an efficient manner.

What you'll need

Academic Degree: Master’s degree in Law (e.g., Juris Doctor, LL.M., or equivalent) from an accredited university, plus admission to practice law in at least one jurisdiction of an IDB Invest member country.

 

Experience: Admission to practice law in at least one IDBG member country and knowledge and substantive legal experience in both Civil and Common law systems or other fields relevant to the responsibilities of the role.

 

At least 4-5 years of relevant professional experience at law firms, financial institution, corporation, investment fund, multilateral development bank or other private sector entity is required in the following:

  • Transaction management: structure, negotiate, draft and close complex transactions, encompassing various legal instruments, such as NDAs, term sheets, bond subscription agreements, offering memorandums and bond supplements, securitization agreements, receivables transfer agreements, unfunded participation agreements, policy rights agreements, among others. 
  • Jurisdictional Knowledge: Extensive experience navigating legal frameworks across multiple jurisdictions and managing due diligence processes.
  • Portfolio Management: Ability to provide comprehensive legal advice on both routine and intricate portfolio matters, including the sale and restructuring of transactions, while ensuring alignment with organizational objectives.
  • Cross-border transactions: knowledge of as many as possible of the following financing instruments, loans, local public issuances, private placements, partial credit guarantees, securitizations, warehousing facilities, receivables purchase agreements, unfunded participation agreements, and other capital markets, structured finance, and supply chain finance structures across Latin America and the Caribbean.

 

Language Skills: Proficiency in English, spoken and written, is required. Additional knowledge of Spanish, Portuguese or French will be considered as a plus.

Requirements

•    Citizenship: You are either a citizen of one of our 48-member countries with residency or legal permit to work in the country for Post of Duty.

•    Consanguinity: You have no family members (up to the fourth degree of consanguinity and second degree of affinity, including spouse) working at the IDB, IDB Invest, or IDB Lab.
 

Type of contract and duration

Staff: National staff contract, 36 months initially, renewable upon mutual agreement.
