About this position
We are looking for a dynamic and accomplished leader to serve as Corporate Governance Director at IDB Invest.
The ideal candidate will bring substantial expertise in corporate governance, risk management, and strategic leadership, ideally gained through extensive engagement with both private sector actors and development finance institutions, with a proven track record of working with boards, senior management, and diverse stakeholders in emerging markets.
You will work in the Environmental, Social & Governance Division (SEG), part of the Risk Department (RSM). SEG is responsible for ensuring that IDB Invest financed projects and other activities are environmentally and socially sustainable. SEG specialists provide IDB Invest and its clients with guidance and participate in project teams and deliver technical input on social, environmental and corporate governance aspects during project due diligence and supervision.
The Corporate Governance (CG) team works with investment officers and clients to define the steps necessary to improve CG, addressing compliance gaps vis-à-vis international best practices, identifying opportunities to proactively add value and contribute to long-term development impact and sustainability. The CG team focuses specifically on CG risks and opportunities, working with companies, Boards of Directors, and senior management, as well as engaging in market activities with the overall objective of improving governance and thereby enhancing sustainability.
The CG team is responsible for reviewing and appraising proposed IDB Invest operations for compliance with the IDB Invest’s CG Guidelines, as well as deploying technical assistance and developing new CG procedures, tools, and products as needed. CG team formulates recommendations and requirements for client action and incorporates these into applicable internal and client-related documentation to facilitate financing; monitor the CG performance of operations in the IDB Invest portfolio; and work to mobilize technical support for clients to improve the governance outcomes of operations. The CG team oversees IDB Invest’s Directorship Program, ensuring robust nomination, onboarding, and support processes for Board members and observers, and promoting high governance standards and alignment with IDB Invest’s institutional values across investee companies. The team also plays a central role in shaping IDB Invest’s institutional approach to corporate governance, contributing to policy design, training programs, strategic partnerships, and upstream initiatives to strengthen governance frameworks across the region.
What you’ll do
- Supervise and coordinate a high-performing Corporate Governance team, fostering a culture of innovation, accountability, and regional impact.
- Serve as a strategic advisor on Corporate Governance, providing expert guidance to senior management and cross-functional teams to inform decision-making and organizational direction.
- Lead the design and execution of comprehensive CG assessments in IDB Invest’s operations, ensuring alignment with global best practices and standards.
- Coordinate closely with legal, internal compliance, and integrity teams to ensure alignment between governance requirements, legal frameworks, and reputational safeguards
- Drive the identification and prioritization of critical CG risks, weaknesses, and improvement opportunities across the IDB Invest and its operations.
- Oversee the supervision of corporate governance performance in IDB Invest’s active portfolio, ensuring compliance with agreed action plans and identifying opportunities to strengthen governance practices and mitigate emerging risks throughout the project lifecycle.
- Oversee the work with clients to develop CG improvement plans needed to minimize and mitigate potential CG risks and add value to operations.
- Oversee and coordinate the work of CG team to guarantee the effective implementation of mitigation measures and value-added solutions in projects and programs of significant scope.
- Mobilize and coordinate technical support for advisory services, oversee the drafting, review, and quality assurance of key deliverables.
- Oversee IDB Invest’s Directorship Program, ensuring robust nomination, onboarding, and support processes for Board members and observers, and promoting high governance standards and alignment with IDB Invest’s institutional values across investee companies.
- Build and leverage strategic relationships with key internal and external stakeholders, including investment team, senior management, Country Representatives, clients, partners, and regulatory bodies, to advance CG objectives and foster collaborative initiatives.
- Facilitate the continuous update of CG guidelines and frameworks, ensuring their relevance and alignment with evolving industry trends and regulatory expectations.
- Lead the development of new methodologies, tools, and digital solutions to enhance the effectiveness and scalability of governance practices
- Represent IDB Invest in high-level forums, committees, and strategy meetings, contributing expert insights and recommendations on CG matters.
What you'll need
- Education: You hold a master’s degree or an advanced degree in Law, Business Administration, Economics, International Relations, or other fields relevant to the responsibilities of the role. A PhD degree would be a plus.
- Experience: At least 10 years of relevant professional experience, preferably 12 years of relevant professional experience, including demonstrated leadership in the development, implementation, and oversight of corporate governance practices in emerging markets, preferably within multilateral development institutions. CFA, ESG and/or any other similar corporate governance certifications are a plus.
- Languages: Proficiency in Spanish and English, spoken and written, is required. Additional knowledge of French and Portuguese is preferable.

- Citizenship:
- For National Staff: You are either a citizen of any of our Country Offices' locations or a non-citizen eligible to obtain residence or authorization to work in the country in which you are to be assigned without the need for sponsorship by IDB Invest.
- For International Staff: There are no citizenship requirements.
- Consanguinity: You have no family members (up to the fourth degree of consanguinity and second degree of affinity, including spouse) working at the IDB, IDB Invest, or IDB Lab.
Type of contract and duration
- International or National staff contract, 36 months initially, renewable upon mutual agreement.
