About this position

The IDB Invest Legal Department (GCL) is seeking highly qualified and motivated professionals to work in our Institutional and Corporate Legal Affairs Division (GCL/ICL), focusing on the substantive areas referenced below.  \

​Our department advises all of the governance bodies of IDB Invest; a multilateral development bank organized as an international organization owned by 48 member countries. As part of our functions, we provide a full range of legal support to IDB Invest’s mission of promoting the economic development of our Latin American and Caribbean developing member countries, by investing in private sector companies. The Institutional and Corporate Legal Affairs (ICL) Division provides legal advice on all institutional, corporate and financial matters for IDB Invest. Our broad portfolio includes advice on the rights and obligations of member countries; the relationship with other international organizations, including the relationship with the IDB and IDB Lab, which are part of the IDB Group; financial management and capital markets transactions to fund our operations;  resource mobilization; administration of human resources; data privacy, intellectual property, information technology and general corporate matters; compliance, litigation, and many other matters of strategic importance to IDB Invest.​ 

What you’ll do

As Lead Counsel or Senior Counsel, the following will be your key responsibilities to: 

• IDB Invest Constituent Documents: Provide legal advice on IDB Invest’s basic documents, including the Agreement Establishing the Inter-American Investment Corporation, an international treaty, and on issues including the rights and obligations of member countries, capital subscriptions, issues of governance, and related policy initiatives. 
• Institutional Matters: Provide legal advice on institutional matters, such as privileges and immunities, regulatory issues, the structure, functions and procedures of the Board of Governors, Board of Executive Directors and IDB Invest Management Committees, and strategic institutional initiatives and policies. 
• Financial Management: Provide legal advice in relation to financial management and treasury operations, including the implementation of IDB Invest’s borrowing program in the international capital markets, derivatives transactions, negotiation of ISDA Agreements, disclosures, financial reporting to investors and interaction with regulatory authorities. 
• Resource Mobilization and Cooperation Arrangements: Provide legal advice related to the establishment of trust funds and agreements for co-financing and other resource mobilization and cooperation initiatives.
• Human Resources Administration: Provide legal advice on the design and implementation of personnel policies, including contract modalities and benefits; administration of IDB Invest personnel in IDBG Country Offices; administration of employee benefit trusts, including the Staff Retirement Plans; employee conduct and ethics; and the employee grievance system.
• Information Technology and General Corporate Matters: Provide legal advice on IDB Invest procurement matters, information technology, intellectual property and data privacy; draft, review and negotiate legal agreements with vendors, suppliers and sponsors. 
• Litigation and Special Assets: Provide legal advice and support on private sector loan and guarantee transactions, with a focus on troubled assets, including restructurings, bankruptcies, workouts, litigation, and portfolio administration.
• Support in institutional and corporate projects and initiatives, as needed.
• Keep abreast of trends in legal issues and precedents across IDB Invest member countries and make recommendations for newly standardized approaches and updated practices accordingly. 
• Oversee the selection and supervision of outside counsel services in a cost-effective manner. 

In addition, as Lead Counsel, your key responsibilities will include:  

• Undertake the above responsibilities with increasing levels of complexity, autonomy, and subject-matter expertise, as required by the nature of the assignments. 
• Lead and coordinate institutional and corporate projects and initiatives, representing GCL or IDB Invest, as needed. 
• Promote knowledge sharing and innovative products and services with relevant stakeholders across IDB Invest. 
• Supervise the work of other attorneys and provide coaching and mentoring to other team membersas appropriate.

What you'll need

Education:  Master’s degree in Law (e.g., Juris Doctor, LL.M., or equivalent) from an accredited university, plus admission to practice law in at least one jurisdiction of an IDB Invest member country. 

Experience: A minimum of 6 years of relevant experience is required for the Lead Counsel level, and at least 5 years of relevant experience for the Senior Counsel level. 

Language Skills: Proficiency in Spanish and English, spoken and written, is required. Additional knowledge of Portuguese or French is preferable.

Type of contract and duration

Type of contract: International or National Staff Contract.
Length of contract: 36 months initially, renewable upon mutual agreement.
