About this position

We are looking for a dynamic and innovative Paralegal who will help us change people’s lives in Latin America and the Caribbean to support the Institutional and Corporate Legal Affairs (ICL) Division of the Legal Department.

 

Our department advises all of the governance bodies of IDB Invest, a multilateral development bank organized as an international organization owned by 48 member countries. As part of our functions, we provide a full range of legal support to IDB Invest’s mission of promoting the economic development of our Latin American and Caribbean developing member countries by investing in private sector companies. 

 

The Institutional and Corporate Legal Affairs Division provides legal advice on all institutional, corporate and financial matters for IDB Invest, our broad portfolio spans advisory on international development through private sector investments, the relationship with member countries, the relationship with other international organizations, including the relationship with the IDB and IDB Lab, which are part of the IDB Group, capital market transactions to fund our operations, data privacy, resource mobilization, financial management, administration of human resources, intellectual property, information technology, compliance, litigation, and many other matters of strategic importance to IDB Invest. 

What you’ll do

  • Assist with drafting and reviewing legal documents related to institutional and corporate matters of IDB Invest and in connection with its operations. This includes issues related to domestic and international litigation, privileges and immunities of international organizations, regulatory matters, strategic institutional initiatives and policies, environmental, social and governance (ESG) legal matters, IDB Group accountability mechanisms, and compliance matters.
  • Assist the legal department’s Disputes Team with (i) case management and documentation, (ii) prepare summaries and reports on dispute resolution activities for internal stakeholders, (iii) coordinate with relevant teams to gather information and update dispute-related records, (iv) support and assist the relevant Dispute Team Attorney on specific processes managed by the disputes team, contributing to the efficiency and effectiveness of ongoing legal operations.
  • Assist the Compliance function with (i) case management and documentation, (ii) preparation of summaries and reports for internal stakeholders, (iii) coordinate responses relating to IDB Invest’s KYC, and (iv) coordinate delivery of the Compliance training plan, including with preparation of training materials and knowledge resources, in connection with certain non-financial risks related to IDB Invest’s activities in the areas of  integrity, ethics and reputational risks; operational conflicts of interest; anti-money-laundering/combating the financing of terrorism and economic sanctions nominee directorships; data access management and privacy; and regulatory matters.
  • Manage the databases overseen by the Legal Department, including systems related to IDB Invest’s policies and regulations, internal committee decisions, institutional and project related litigation, and delegations of authority. Responsibilities include coordinating with the Knowledge Management team to develop effective strategies for disseminating database information and encourage attorneys in the legal department to provide the required inputs for updating the database.
  • Assist with the development and regular updating of model documentation and maintenance of the Legal Department and Compliance intranets.
  • Assist with the procurement of contracting external legal services, liaise with external counsel on transaction, corporate and institutional matters, drafting retainer agreements for contracting external counsel and tracking of external counsel invoices and data.
  • Support the administration of projects managed by the disputes team, including the execution, notarization and consularization of documents, and the organization, review and tracking of conditions precedent and subsequent in agreements.
  • Coordinate the filing of physical and digital versions of legal documents and records in accordance with IDB Invest’s policies and procedures.
  • Conduct research on a variety of matters, including IDB Group policies and procedures, Legal Department opinions, transaction precedents, international best practices for non-financial risks compliance, and ongoing disputes and legal proceedings.
  • Review or prepare translations of IDB Invest documents for external or internal use as applicable.
  • Identify and recommend process improvement opportunities in the paralegal operational area to improve quality and timing of service delivery.
  • Other activities as agreed with the supervisor.

What you'll need

Education: You hold a bachelor’s degree from an accredited university. You have knowledge and substantive legal experience in both Civil and Common law systems.

Experience: At least 3+ years of relevant professional legal experience.

Languages: Proficiency in English and one of the other Bank official languages (Spanish, French or Portuguese) is required.

 

In addition to the above, you possess outstanding writing and organizational abilities, including meticulous record-keeping and effective project management. Driven by results and attentive to detail, you excel at using Microsoft Office applications such as PowerPoint, Excel, and Word.
